A Poké house from Indonesia (2022)

The Client

We were contacted by the marketing manager of a famous Indonesian brand, world market leader in the Poké restaurants. The Client has already expanded in various European countries, and wished to enter into the Italian market, having some contacts with a number of possible Italian master franchisees.

Poké shops are we completely unknown in Italy since recently. Them such kind of catering had a real boom, with suddenly dozens of franchise chains born in a small period of time. Some of them were successfully, some others not, depending above all on the quality and originality of their business model. The Indonesian Poké house had been on the market for long time, and all the conditions were there for a quick and successful expansion of the franchise also in Italy.

While the negotiations with the Master franchisees candidates were going on, the Client wished to have a careful review of all its franchising documentation, in order to be fully compliant with Italian Franchise Law  and to have the documents ready to be signed once the candidate has been selected.

Our activity

Before starting our activity, we had a number of conversations with the Client in order to have a clear idea of the consultancy needed for its franchise expansion in Italy. Since we had a considerable experience in the franchising food industry, we were able to give useful tips to the Client as to some changes to their format, in order to make it fir for the Italian market.

Having agreed with the Client on our intervention, we provided the Client with the following legal advice:

  • review and redrafting of the Client’s disclosure franchise document, compliant to Italian Franchise Law and translation into Italian language.
  • review of the Client’s standard master franchise agreement, together with its attachments, according to Italian Franchise Law, and translation into the Italian language. The original Master franchising agreement used by the Client was quite different from the master franchising agreements typically used in Italy, so it was necessary to make many amendments, also in coordination with the Client’s law firm.
  • review of the Client’s standard sub-franchise agreement, together with its attachments, according to Italian Franchise Law, translating it into the Italian language. Again, also in this case a notable activity was necessary, in order to make the franchising agreement in line with Italian legislation and commercial practice.

After our legal advice was completed and the documents ready to be used in Italy, the client project was stopped for some time, due to the Covid epidemic situation, that affected the Italian food sector at that time. At the end of 2022, once the master franchisee’s candidate was selected, the negotiations were resumed and the first Poké shop in Milan was opened.
