Master franchising in the food sector from UK (2024)

We assisted a client operating in the food sector (particularly ice cream parlors) based in the UK, wishing to expand its franchise in Italy.

The client approached us at an advanced stage of negotiations with a potential Italian master franchisee; namely, the economic part, including the development plan, was already set, while the legal part was to be drafted entirely.

We then drafted the entire master franchising agreement with the Italian partner, in English and Italian language, and started an intense negotiation with the Italian master franchisee, until the agreement was finalized.

We than drafted the sub-franchising agreement, written in Italian, after a number of contacts and negotiations with both the client and the Italian master franchisee.

Finally, we drafted the franchise disclosure document, according to Italian franchise law, in order to be used by the Italian master franchisee with its Italian sub-franchisees.

This was a very intense and stimulating activity, at the end of which the Client was able to successfully establish a contractual relationship with the Italian master franchisee, laying the foundation for the brand’s successful expansion in Italy.
