We were contacted by a law firm representing an Australian franchisor, acting in the field of tattooing services. Originally based in Thailand, the tattooing Australian franchise had rapidly grown as to become market leader, being the only global tattoo franchise group in the world, with more than 30 tattoo shops in 8 countries. Services include tattooing, piercing, cosmetic tattooing, barbering services and merchandising.
The franchisor had a business proposal from an Italian franchisee, based in Florence, and had plans to open other shops in different partes of Italy.
Therefore, the Client needed legal advice from a qualified Italian franchising attorney as to the opening of its first shop with the Italian franchisee, acting through direct franchising.
In coordination with the Clint’s law firm, we performed the following legal advice:
review and redrafting of the Client’s disclosure franchise document, compliant to Italian Franchise Law. Since the client was adopting a disclosure document drafted according to Australian legislation – much more detailed than the Italian – we selected the number of information necessary under Italian Franchise Law, in order to make the document simple and clear, and translated it into the Italian language.
review of the Client’s standard franchising agreement, together with its attachments, according to Italian Franchise Law, translating it into the Italian language.
check of the Client’s advertising material.
We also performed some legal advice concerning the signing of the franchising agreement with the Italian franchisee, since the franchisee’s lawyer had asked some clarifications and amendments about the agreement. We made some negotiations with the franchisee’s lawyer, in connection with Client’s law firm, after which the final franchising agreement was signed.
